These Terms & Conditions (“Terms”) govern access to and use of AiToolkit’s website, WhatsApp API CRM, web application, mobile application, APIs, integrations, support and related services (“Services”). By creating an account, purchasing a plan, accepting an invitation to a workspace or otherwise using the Services, you agree to these Terms. If you use the Services for a business or organization, you represent that you have authority to bind that organization, and “you” includes that organization.

2.1 Eligibility and business use

  • You must be at least 18 years old or otherwise legally able to enter a binding contract.
  • You must provide accurate account and billing information and keep it reasonably current.
  • You may use the Services only for lawful business or professional purposes and in accordance with these Terms, the Acceptable Use Policy, applicable laws and third-party platform rules.
  • If you create accounts for employees, agents or clients, you are responsible for their authorized use and for assigning appropriate roles and permissions.

2.2 Description of the Services

AiToolkit provides software tools that may include a shared WhatsApp inbox, customer/contact management, templates, campaigns, scheduling, automations, chatbots, AI-assisted features, analytics, tags, team assignment, integrations, notifications and related CRM functions. Exact features, usage limits and availability depend on the subscribed plan, app version, device, geographic availability, customer configuration and third-party platform support.

AiToolkit may add, change, improve, discontinue or replace features where reasonably necessary for security, legal compliance, product improvement, technical compatibility or third-party platform changes. AiToolkit will use reasonable efforts to communicate material reductions in paid core functionality when practical.

2.3 WhatsApp Business Platform and third-party dependencies

AiToolkit is an independent software service. WhatsApp and Meta are third-party platforms and trademarks of their respective owners. Use of WhatsApp-related functionality requires compliance with the current WhatsApp/Meta terms, messaging policies, commerce rules, template rules, quality controls, rate limits, technical requirements and any other policies applicable to the customer’s account.

  • AiToolkit cannot guarantee approval of a WhatsApp Business Account, phone number, display name, message template, business verification, messaging limit or verification badge.
  • Meta/WhatsApp may change APIs, pricing, limits, eligibility, policy or account status independently of AiToolkit. Those changes may affect available features or costs.
  • Suspension or restriction by a third-party platform is not automatically a defect in AiToolkit’s software.
  • You authorize AiToolkit to access and process third-party account information only to the extent required for integrations you enable.

2.4 Account security

You are responsible for maintaining the confidentiality of login credentials, devices, API credentials and administrator access. Activity performed through your authorized account may be treated as activity authorized by you unless you promptly report compromise. You must notify AiToolkit at [email protected] if you suspect unauthorized access, credential theft or security misuse.

AiToolkit may require verification, force a password/session reset, temporarily limit access or take other protective measures when suspicious activity is detected.


2.5 Customer data, contacts and messaging responsibility

You retain rights in the data you lawfully upload or create through the Services. You grant AiToolkit a limited right to host, process, transmit, display, transform and back up that data only as necessary to provide, secure, support and improve the Services in accordance with the Privacy Policy and your configuration.

You are solely responsible for the legality, accuracy and source of contact lists and content you use. In particular, you must:

  • Obtain and retain valid consent, opt-in or another lawful basis before sending messages where required.
  • Honor opt-outs, blocks, objections and do-not-contact requests promptly.
  • Avoid purchased, scraped, harvested or unlawfully obtained contact databases.
  • Send templates, campaigns, promotions and automated messages only when permitted by applicable law and the current WhatsApp Business Messaging Policy.
  • Provide legally required privacy notices to your contacts and comply with industry-specific rules that apply to your business.
  • Avoid uploading highly sensitive information unless necessary, lawful and appropriately protected.

2.6 AI and automation features

AI-generated suggestions, summaries, classifications or responses can be incomplete, incorrect or contextually inappropriate. You remain responsible for reviewing important outputs and for configuring human escalation or approval where appropriate. Do not rely on AI output as professional legal, medical, financial, emergency or other high-stakes advice.

You must not configure AI or automation to deceive users, impersonate a real person without appropriate disclosure, make unlawful decisions, discriminate unlawfully, facilitate scams, or send prohibited content. AiToolkit may apply safety limits or suspend automation that creates material risk or violates third-party policies.

2.7 Fees, billing, taxes and third-party charges

Paid plans are billed according to the price, currency, term and features shown at purchase or in an accepted commercial proposal. Taxes may be added where legally required. Unless explicitly included in the plan, Meta/WhatsApp messaging fees, payment-gateway fees, telecommunication charges, app-store charges, integration fees and other third-party costs are separate and may change independently.

If a plan renews automatically, you authorize recurring charges using the selected payment method until cancellation, subject to any renewal notice required by law. Failed payment may result in reduced functionality, suspension or termination after reasonable notice where practicable.

2.8 Refunds and cancellation

Refund eligibility is governed by the Refund Policy. Subscription cancellation is governed by the Cancellation Policy. Cancellation normally prevents future renewal but does not automatically delete the account, CRM data, WhatsApp Business Account or third-party platform account. Data deletion must be requested separately unless the cancellation flow expressly includes deletion.

2.9 Acceptable use and enforcement

You must comply with the Acceptable Use Policy and Community Guidelines. AiToolkit may investigate suspected misuse and may warn, rate-limit, block a workflow, remove prohibited content, suspend an account or terminate access when reasonably necessary to protect users, AiToolkit, third parties or platform compliance. Urgent action may be taken without advance notice in cases involving fraud, security threats, illegal activity, spam, platform risk or serious policy violations.

2.10 Intellectual property

AiToolkit and its licensors retain all rights in the Services, software, designs, interfaces, documentation, trademarks, logos, source code, underlying technology and other proprietary materials, excluding customer-owned content. These Terms grant only a limited, non-exclusive, non-transferable, revocable right to use the Services during the authorized subscription term.

You may not copy, reverse engineer, decompile, bypass technical restrictions, resell, sublicense, scrape, reproduce or create derivative commercial services from AiToolkit except where applicable law expressly allows it or a written AiToolkit agreement permits it.

If you provide suggestions or feedback, you grant AiToolkit the right to use that feedback without restriction or payment, provided AiToolkit does not publicly identify you as the source without permission.

2.11 Confidentiality

Each party may receive non-public business, technical or commercial information from the other. The receiving party must use reasonable care to protect confidential information, use it only for the relevant business relationship and disclose it only to people who need it and are bound by suitable confidentiality obligations. This does not apply to information that is public through no breach, already lawfully known, independently developed, lawfully received from another source, or required to be disclosed by law.

2.12 Service availability, maintenance and backups

AiToolkit aims to provide a reliable service but does not guarantee uninterrupted or error-free availability. Planned maintenance, emergency maintenance, internet failures, mobile-network issues, third-party outages, API limits, operating-system changes, force majeure, security incidents or customer configuration may cause temporary interruption.

Customers should maintain exports or independent copies of business-critical data when appropriate. AiToolkit backups are primarily for service continuity and should not be treated as the customer’s only archival system unless a written plan expressly states otherwise.

2.13 Suspension and termination

You may stop using the Services and cancel paid renewal according to the Cancellation Policy. AiToolkit may suspend or terminate access for material breach, non-payment, fraud, abuse, security risk, unlawful use, repeated platform violations or where continued service is prohibited by law or a third-party platform requirement.

Upon termination, access to the Services may end and data will be handled according to the Data Retention Policy. You should export data before termination where the product provides an export function and where export is legally permitted

2.14 Warranty disclaimer

To the maximum extent permitted by law, the Services are provided on an “as available” and “as is” basis. AiToolkit does not warrant that every feature will meet every business requirement, that communications will always be delivered or read, that third-party approvals will be granted, or that AI outputs will always be accurate. Mandatory statutory warranties and consumer rights that cannot legally be excluded remain unaffected.

2.15 Limitation of liability

To the maximum extent permitted by law, AiToolkit will not be liable for indirect, incidental, special, punitive or consequential loss, or for lost profits, revenue, goodwill, data, business opportunity or anticipated savings arising from use of the Services, third-party platforms, customer configuration, unlawful customer messaging or events outside AiToolkit’s reasonable control.

Where liability cannot be excluded, AiToolkit’s aggregate liability relating to a paid Service is limited, to the extent permitted by law, to the amount paid to AiToolkit for that Service during the three months immediately preceding the event giving rise to the claim. This limitation does not apply where applicable law prohibits limitation, including liability that cannot legally be excluded.

2.16 Indemnity for customer misuse

To the extent permitted by law, a business customer agrees to defend, indemnify and hold AiToolkit and its personnel harmless from third-party claims, penalties, losses and reasonable costs arising from the customer’s unlawful content, unlawful contact lists, spam, violation of messaging/commerce policies, infringement of third-party rights, unauthorized use of accounts, or breach of these Terms, except to the extent caused by AiToolkit’s own breach or unlawful conduct.

2.17 Governing law and disputes

These Terms are governed by the laws of India, without excluding mandatory rights that apply to a user under the law of another jurisdiction. Before starting formal proceedings, the parties should make a reasonable good-faith effort to resolve the issue through written notice to [email protected]. Subject to mandatory law and any written enterprise agreement, courts with jurisdiction under applicable Indian law may hear unresolved disputes.

2.18 Changes to these Terms

AiToolkit may update these Terms when the Services, law, pricing structure or third-party platform requirements change. Material changes will be communicated by reasonable means when required. Continued use after an updated version becomes effective constitutes acceptance to the extent permitted by law. If you do not agree, you should stop using the affected Service and cancel future renewal.
